CONCEPT

Civil Law is a fundamental cornerstone of the UAE Legal System. This practical five-day course will:

» Introduce the Civil Law tradition,

» Explore the UAE Civil Code and its provisions on personal rights and obligation,

» Provide an in-depth look at Mergers & Acquisitions in the Civil Law context,

» Provide an overview of the legislative landscape and regulations in Civil Law context, and

» Focus on the types of IP Rights in the UAE.

Course 1: Introductory Concept – Evolution of Civil Law and distinction from Common Law

An introduction to:

» the Civil Law tradition and its referable system,

» the role of general principles and jurisprudence constant,

» how private law reflects in the Civil Law Courts system, and

» the evolution of Civil Law from advice given from Roman jurists to Roman citizens to a legal tradition adopted by 78% of the world’s legal systems.

We explore the UAE Civil Code and its provisions on personal obligations and rights, the Law of Obligations and the different types of obligations and their sources, explaining the difference between “real” and “personal” rights.

Course 3: Negotiating and Structuring the Acquisition of a Company (How to negotiate a shareholders agreement, or an equity financing round)

An in-depth look at:

» Mergers and Acquisitions in the Civil Law context,

» the general duty to negotiate in good faith and its implications,

» the protection of the investor in the case of an equity financing round, and

» the right of first refusal.

Course 4: Intellectual Property Laws in the Civil Law Context

We kick off with an overview of the legislative landscape and formalities for protection, Federal laws governing the areas and treaties, registration process and enforcement. We will focus on the types of IP Rights in the UAE, i.e. Trademarks, Patents & Designs, Domain names, Trade Secrets, Copyrights. This introduction will be followed by an interactive case study session.

Course 5: Property Laws in the Civil Law Context

An overview of:

» the legislative landscape and regulations in Civil Law context,

» laws governing the areas (Federal vs Local) and

» the registration process.
