Kuwait: Mergers and Acquisitions Provisions Amended

Alqabas, 4 June 2023: Kuwait’s Capital Market Authority has released Decision No. 80/2023, on the amendment of some of the provisions of the executive regulations of Kuwait Law No. 7/2017 on the establishment of the Capital Market Authority and the regulation of securities activities, including subsequent amendments.

The revised provisions specifically focus on Chapter 9, which addresses Mergers and Acquisitions. As per the amendments, the inclusion of future plans as a mandatory item within the documentation concerning the company being acquired has been introduced.

Additionally, the amendments outline specific scenarios in which an exemption from the obligation to submit a mandatory acquisition offer is applicable.

Kuwait: Expat Workers To be Allowed Residency Transfers from Closed Companies

Arab Times, 28 May 2023: Kuwait’s Public Authority for Manpower is developing a plan to allow expatriate workers registered in companies whose files have been closed to transfer their residency to other companies. These files were closed due to a lack of an established procedure.

However, in light of humanitarian circumstances, workers will be permitted to transfer if their files are cleared by July. The transfer process will follow specific regulations, allowing workers to move to valid files with other companies.

Those employed by small and medium enterprises will require a minimum of three years since the issuance of their work permit to be eligible for transfer. The final decision on transfers will be made accordingly.

These measures aim to support expatriate workers affected by company suspensions, prioritising their welfare and individual circumstances.

Kuwait: MoE Pays out 15million Dinars as vacation allowance for its 3,715 Employees

Arab Times, 2 May 2023: The Kuwaiti Ministry of Education has paid approximately 15 million dinars in vacation allowances to its employees, including 3,715 Kuwaiti and non-Kuwaiti workers.

According to sources, the Ministry of Education has allocated 25 million dinars for cash payments for transactions which were issued from 1 April 2022 until the end of March of 2023.

In addition, the Minister of Education has issued a decision to stop the enrollment of Kuwaiti students in all undergraduate and postgraduate programs at Purdue University – Calumet and Purdue University – North Central in the United States of America.

The decision does not apply to those already enrolled before the issuance of the decision, as well as those admitted for the second semester of academic year 2022/2023.

Kuwait: Decision Determining Actual Beneficiary Identity Implemented

Alanba, 19 April 2023: Sources have disclosed the Ministry of Commerce and Industry intends to enforce Kuwait Ministerial Decision No. 4/2023Concerning the Procedures for Specifying the Beneficial Owner in the near future, which outlines the procedures for identifying the “actual beneficiary”.

The ministry is currently arranging a meeting with officials from several relevant departments and leaders to discuss how to implement the resolution.

The sources have noted the decision aims to promote the business environment and improve the country’s economic standing by meeting international standards.

It requires individuals and legal entities in the country to comply with at least minimum registration obligations, including licensing procedures, keeping a record of the actual beneficiary, and maintaining a record of partners or shareholders.

The resolution also aims to establish effective and sustainable mechanisms and procedures for managing actual beneficiary data.

Kuwait: Working Hours for Disabled to be Cut

Arab Times, 6 April 2023: The Civil Service Commission (CSC) has issued a circular to all government agencies, directing them to comply with the recommendations and instructions issued by the Public Authority for People with Disabilities

The circular directs compliance with the recommendations and instructions particularly with regards to reducing working hours for individuals with disabilities or those caring for them, during Ramadan or normal working hours.

The circular highlights the benefits and conditions outlined in Kuwait Law No. 8/2010 Rights of Persons with Disabilities for individuals with disabilities and their caregivers and emphasises all government agencies must implement these recommendations in accordance with the law.

Kuwait News developments

Kuwait: Flexible Working Hours Enforced

Arab Times, 2 April 2023: The Ministry of Communications in Kuwait has begun implementing its plan of flexible working hours in most government agencies, with working hours starting at 9:45 am and ending at 3:15 pm, except for those working in shifts.

All employees, except for those in shift work, must put in four and a half hours of work.

The decision allows government agencies to choose more than one of the scheduled work times.

The Ministry had previously sought guidance from the Civil Service Commission regarding the adoption of the flexible working hours system during the month of Ramadan.
